About the CSCRF Group of Funds The CSCRF Group of Funds has been involved in seven flow-through limited partnerships since 2004: CSCRF 2004 LP, CSCRF 2005 LP, CSCRF 2006 No.1 LP, CSCRF 2006 No.2 LP, CSCRF 2007 No.1 LP, CSCRF 2007 No.2 LP and Faircourt CSCRF 2008 No.1 LP. Each of these limited partnerships invests in flow-through shares of junior resource issuers. Investors become "limited partners" by subscribing for units of a partnership and may receive tax deductions in that same fiscal year for the amounts they have invested. Each limited partnership has an Investment Committee that selects investments by considering a potential investee company's management, its exploration and future growth potential, capital structure and price. Each Investment Committee is comprised of the Directors of the General Partner responsible for that fund. Details about individual Directors can be found in the prospectus as posted on each fund's individual page. Once investments are selected for a partnership, they are actively managed until the dissolution of the partnership. Depending on market conditions and the time of year a fund is initiated, it is anticipated that a fund will be dissolved in approximately 18-27 months, or less, once all applicable tax deductions have been fully utilized. Upon dissolution, Limited Partners may receive the cash liquidation value of their holdings. The difference between the value a Limited Partner receives from the proceeds of dissolution and the adjusted cost base of their investment, after taking into consideration the tax benefits received, may result in a capital gains tax liability. The General Partner may also offer Limited Partners the option to "roll-over" their shares on a tax-deferred basis in exchange for units/shares of another investment vehicle. However, there are no guarantees that this second option will be made available. |
